Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of apexionwp.com (the "Site") and the purchase, download, licensing, and use of WordPress themes, templates, and related digital products offered through the Site.

The Site is operated by Apexion Solutions Ltd ("Apexion", "we", "us", or "our"), a company registered in England and Wales under company number 17425862, with its registered office at 50 Princes Street, Ipswich, United Kingdom, IP1 1RJ.

By creating an account, placing an order, or using our Services, you agree to comply with these Terms. If you do not agree, you should not use the Site or purchase its products.

Nothing in these Terms excludes or limits any mandatory rights available to consumers under applicable law.

1. Scope and Acceptance of Terms

These Terms apply to all visitors, registered users, and customers of ApexionWP.

They govern:

  • Access to and use of the Site.
  • Registration and management of customer accounts.
  • Purchases of WordPress themes, templates, and related digital products.
  • Licensing and permitted use of purchased products.
  • Digital product delivery and download access.
  • Customer support, refunds, and order-related services.
  • Intellectual property and third-party licensing requirements.

We may update these Terms periodically. Updated versions will be published on the Site with a revised effective date.

Changes will not retrospectively remove statutory rights or contractual rights already acquired by customers. Material changes affecting ongoing services will be communicated where required by applicable law.

2. Nature of Our Business and Product Origins

Apexion operates an independent digital marketplace offering a curated selection of WordPress themes, website templates, and related design resources.

Our catalogue primarily consists of products originally developed and published by independent third-party WordPress developers.

Our identified third-party product sources include:

These developers create and distribute WordPress themes, plugins, templates, and related website resources under their respective licensing terms.

Apexion is not the original developer of third-party products unless expressly identified as such in the relevant product description.

Our role may include:

  • Selecting and curating WordPress products for our catalogue.
  • Organising templates into website categories and collections.
  • Reviewing product functionality and compatibility information.
  • Making limited configuration or presentation adjustments where permitted by the applicable licences.
  • Preparing digital product packages for customer delivery.
  • Providing purchasing, account access, and download services.
  • Offering customer assistance relating to orders and digital delivery.

Where a product has been modified, the applicable product description or accompanying documentation may identify the nature of those modifications.

Any original materials independently developed by Apexion will be identified where relevant. Original developers retain their respective intellectual property rights, subject to the licences under which their products are distributed.

References to third-party developers do not imply that Apexion is officially affiliated with, endorsed by, sponsored by, or acting as an authorised representative of those developers.

3. Product Sourcing and Distribution Rights

Apexion sources its WordPress software products from third-party developers and distribution channels under the applicable software licences and other relevant permissions.

Products distributed under the GNU General Public License ("GPL") may be copied, modified, and redistributed in accordance with the applicable GPL version and its conditions.

Apexion relies on the applicable open-source licensing rights when distributing GPL-covered software. A separate commercial reseller agreement is not necessarily required for redistribution that is already authorised by the applicable GPL.

However, GPL permissions do not automatically extend to all non-software materials, third-party assets, trademarks, or services associated with a product.

Where separate assets require additional distribution rights, those rights must be established independently before the assets can lawfully be included in a redistributed product package.

Customers may request information regarding the original developer and the applicable software licensing terms by contacting Apexion.

The relevant original developer licences are available at:

4. Customer Licence and Permitted Usage

When purchasing a digital product from Apexion, the customer receives access to the applicable downloadable product files and the rights granted under the licences governing the included components.

Purchasing a product does not transfer exclusive copyright ownership, trademarks, or other intellectual property rights to the customer.

4.1. GPL-Licensed WordPress Software

Where a WordPress theme, template, plugin, or other software component is licensed under the GNU General Public License, the customer's rights are governed by the applicable GPL.

Subject to compliance with that licence, customers may:

  • Download and install GPL-covered software.
  • Use GPL-covered software for personal websites.
  • Use GPL-covered software for commercial websites and business projects.
  • Install GPL-covered software on an unlimited number of websites, unless a separate component is subject to a different applicable licence.
  • Modify and customise GPL-covered software.
  • Use GPL-covered software in websites developed for clients.
  • Copy and redistribute GPL-covered software in accordance with the applicable GPL, including commercially.

Apexion does not impose additional restrictions on redistribution, modification, or commercial use rights expressly granted under the applicable GPL.

Recipients who redistribute GPL-covered software must comply with all applicable licence obligations, including preservation of required notices, provision of licence information, and source-code obligations where applicable.

4.2. Non-GPL Materials

Some products or product presentations may contain materials that are not licensed under the GPL.

These may include certain photographs, illustrations, fonts, graphics, design resources, Photoshop files, trademarks, or other independently licensed assets.

Where such materials are included and Apexion has the necessary rights to supply them, their use is governed by the applicable separate licence and any disclosed restrictions.

Unless the applicable licence expressly permits otherwise, customers must not independently resell, sublicense, distribute, or commercially exploit non-GPL materials beyond the rights granted to them.

Any separate installation limits or usage restrictions applicable to a non-GPL component will be disclosed in the relevant product information or accompanying licence documentation.

5. Resale, Redistribution and Account Restrictions

Apexion provides digital products primarily for customers who wish to build, customise, and operate their own websites or create websites for clients.

Customers may not resell, transfer, sublicense, or share their Apexion customer accounts, account credentials, download access, or any separate support or service entitlements without our prior written permission.

Customers may not:

  • Misrepresent themselves as Apexion or as the original software developer.
  • Use Apexion branding, logos, website materials, or trademarks without authorisation.
  • Resell or distribute non-GPL assets where the applicable licence prohibits such activity.
  • Transfer third-party premium service accounts, subscription credentials, or licence keys without the required authorisation.
  • Republish Apexion's proprietary catalogue descriptions, website content, or original marketing materials without permission, except where lawful use is otherwise permitted.
  • Represent redistributed products as officially supported, certified, or endorsed by Apexion or the original developer without authorisation.

For clarity, these restrictions do not prohibit the lawful redistribution of software components covered by the GNU GPL.

Apexion's commercial account services, support access, website branding, and independently protected materials are separate from the open-source rights granted in GPL-covered software.

6. Third-Party Plugins, Images, Fonts and Bundled Assets

WordPress products may be associated with additional plugins, images, fonts, page-builder resources, and other third-party materials.

Customers acknowledge that the licence covering a WordPress theme does not automatically grant unrestricted rights over every associated asset.

In particular:

  • Plugins: plugins distributed under the GPL are governed by their applicable GPL terms. Separately licensed plugins may require additional permissions or purchases.
  • Images and photographs: demo images may be displayed for illustrative purposes only and may be excluded from downloadable packages.
  • Fonts: font files remain subject to their respective open-source or commercial font licences.
  • Graphics and illustrations: independently copyrighted visual assets may be subject to separate usage and redistribution restrictions.
  • Photoshop and design source files: these may be separately licensed and are not automatically included in the rights granted for GPL-covered software.
  • Licence keys and premium services: a software download does not automatically include access to a developer's paid subscription, activation service, premium account, or ongoing commercial support.

Themify's published terms state that its separately packaged Photoshop files are not licensed under the GPL and may not be redistributed. Themify also states that its demonstration images are not included in its theme packages.

CSSIgniter states that its themes, plugins, and Elementor templates are GPL-licensed and that demonstration images are not included.

Customers should not assume that images or other visual materials shown in live previews are included in the purchased product.

Where additional assets are required, customers may need to obtain their own licences or replace demonstration materials with appropriately licensed alternatives.

The contents of a purchased download and any relevant third-party licence notices determine which files are supplied and which conditions apply to their use.

7. Website Installation and Usage Limits

GPL-covered themes and software may be installed and used on an unlimited number of personal or commercial websites, consistent with the applicable GPL.

Customers may use such software for their own websites or for websites developed and managed on behalf of clients.

No additional Apexion purchase is required solely because a customer installs the same GPL-covered software on another website.

However, separately licensed plugins, commercial assets, activation keys, support subscriptions, and third-party services may have their own installation or account restrictions.

Any such restrictions are determined by the applicable separate licence or service agreement and should be reviewed before use.

8. Products, Descriptions and Pricing

Apexion offers digital WordPress themes, templates, and related website resources as described in the relevant product listings.

Product listings may contain descriptions, previews, screenshots, technical requirements, compatibility information, and details of included files.

We make reasonable efforts to provide accurate and up-to-date product information.

Prices are displayed in Euros (EUR). Applicable taxes and the total amount payable will be presented during checkout in accordance with applicable law.

We reserve the right to update product prices and availability. Price changes do not affect orders that have already been accepted and completed.

Unless expressly stated otherwise, purchases relate to digital products rather than subscriptions or physical goods.

9. Ordering and Payment

Customers must provide accurate information when creating accounts and completing purchases.

Payment is due in full when placing an order, using one of the payment methods made available at checkout.

Payments may be processed by independent third-party payment service providers.

By submitting an order, customers authorise the relevant payment provider to process the transaction in accordance with the payment instructions and applicable provider terms.

After successful payment confirmation, Apexion processes the order and enables access to the purchased digital products.

Orders may be subject to reasonable payment verification, fraud-prevention checks, and technical validation.

If an order cannot be fulfilled, we will notify the customer and provide an appropriate refund or other remedy in accordance with applicable law.

10. Digital Product Delivery

All products sold through ApexionWP are digital products delivered electronically. No physical goods are shipped.

Following successful payment confirmation, customers receive access to their purchased WordPress themes and templates through their registered account on the Site.

10.1. Delivery Through Customer Account

Purchased digital products are normally made available for download immediately after payment has been successfully confirmed.

Customers can access purchased files by:

  1. Logging into their registered ApexionWP account.
  2. Opening their account dashboard.
  3. Navigating to their purchased products or downloads section.
  4. Selecting the relevant purchased product.
  5. Downloading the available digital files.

10.2. Email Confirmation and Delivery Information

Following a successful purchase, an order confirmation email is sent to the email address provided during checkout.

The email contains relevant purchase details and information or links for accessing the purchased digital files.

The customer is responsible for ensuring that the email address supplied during checkout is accurate and accessible.

Email notifications may occasionally be delayed or filtered by email providers. Failure to receive an email does not necessarily mean that the purchased files are unavailable in the customer's account.

10.3. Delivery Timeframe

The standard digital delivery timeframe is immediately after successful payment confirmation, subject to any necessary transaction verification or temporary technical processing.

If payment has been completed but purchased files are not accessible, the customer should contact our support team.

Apexion will investigate the issue and take appropriate steps to supply the purchased content, restore access, or provide another remedy where required by applicable law.

11. Order Fulfilment and Delivery Verification

Apexion uses order and transaction information to administer digital purchases and assess whether purchased products have been made available to customers.

Order fulfilment may be verified using information such as:

  • The customer's order reference and registered account.
  • The purchased product and transaction amount.
  • The payment confirmation and transaction status.
  • The availability of purchased files in the customer's account dashboard.
  • Download access permissions associated with the order.
  • The time at which access was enabled, where recorded.
  • Email dispatch or delivery-status records, where available.
  • Download activity and timestamps, where recorded by the relevant system.
  • Customer support records relating to delivery or access issues.

These records help Apexion investigate unsuccessful downloads, missing files, payment disputes, and customer support enquiries.

Successful payment confirmation alone does not establish that the customer has downloaded the purchased product.

Similarly, an email dispatch or delivery record does not necessarily establish that the customer has opened or read the message.

Where a delivery issue is reported, Apexion will assess the available transaction and access information and take appropriate steps to resolve the matter.

Personal data associated with these records is processed in accordance with our Privacy Policy.

12. Immediate Supply and Consumer Cancellation Rights

Digital products purchased from Apexion are intended to be supplied electronically following successful payment.

Under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, eligible consumers generally have a 14-day statutory cancellation period for distance purchases, subject to applicable exceptions.

For digital content supplied without a physical medium, the statutory cancellation right may be lost once supply begins during the cancellation period, provided that the consumer has given prior express consent to immediate supply and expressly acknowledged the resulting loss of the cancellation right.

Apexion will seek the required consent and acknowledgement before beginning immediate supply where the relevant legal requirements apply.

Confirmation of the contract and the required consent and acknowledgement will be provided on a durable medium in accordance with applicable law.

Merely registering an account, accepting these Terms, or visiting the customer dashboard does not by itself replace the specific consent and acknowledgement required for the loss of the statutory cancellation right.

If those requirements have not been met, the customer's applicable statutory cancellation rights remain unaffected.

Cancellation rights are separate from statutory remedies for faulty, misdescribed, or incorrectly supplied digital content.

Further information is provided in our Refund Policy.

13. Refunds and Customer Remedies

Refunds, cancellations, and other remedies are governed by our Refund Policy and applicable consumer protection legislation.

Customers may submit refund requests within 14 calendar days of purchase for consideration under our Policy.

Where digital content is faulty, materially different from its description, not supplied as agreed, or otherwise fails to comply with applicable legal requirements, customers may be entitled to additional statutory remedies.

These may include repair, replacement, an appropriate price reduction, or a refund, depending on the circumstances.

Nothing in these Terms restricts rights that cannot legally be excluded under the UK Consumer Rights Act 2015 or other applicable consumer protection laws.

14. Customer Support and Assistance

Apexion provides customer support relating to purchases and the delivery of digital products.

Our standard customer assistance covers:

  • Order confirmation and payment-related enquiries.
  • Access to registered customer accounts.
  • Availability and retrieval of purchased downloads.
  • Missing, inaccessible, or corrupted downloadable files.
  • Questions about product contents and applicable licensing information.
  • Refund and cancellation enquiries.
  • General assistance with issues directly related to order fulfilment.

Customers can contact our support team at [email protected].

Unless expressly included in the product description or agreed separately, a purchase does not include custom website development, individual design modifications, hosting administration, third-party plugin configuration, or ongoing website maintenance.

Apexion does not guarantee access to the original developer's private support services, premium customer accounts, or subscription benefits unless expressly stated and lawfully provided.

Nothing in this section limits our responsibility to provide statutory remedies for non-conforming digital content.

15. Product Updates and Maintenance

Third-party developers may periodically update their WordPress themes, templates, and plugins to add functionality, resolve defects, or maintain compatibility.

The availability of product updates through Apexion depends on the relevant product offering and any separately stated update arrangements.

A purchase does not automatically include an unlimited subscription to future releases, premium support, or access to a third-party developer's membership services.

Unless otherwise expressly stated, Apexion does not promise lifetime updates or continued access to newly released product versions.

Any expressly agreed update period or update entitlement will be communicated in the relevant product information.

Customers remain responsible for maintaining their WordPress installations, compatible hosting environments, and independently installed software, subject to Apexion's applicable legal obligations.

Expiration of a separate support or update entitlement does not remove rights that customers already hold under the GPL for lawfully obtained GPL-covered software.

16. Customer Accounts and Security

Customers may be required to register an account to purchase and download digital products.

Account registration requires a valid email address and appropriate authentication credentials.

Customers are responsible for maintaining the confidentiality of their account credentials and for notifying Apexion if they suspect unauthorised account access.

Customer accounts are intended for use by their registered holders and must not be sold, transferred, or shared with unauthorised third parties.

We may temporarily restrict or suspend account access where reasonably necessary to investigate fraud, security incidents, or material violations of these Terms.

Any such restriction will not remove customers' statutory rights or rights already granted under applicable open-source software licences.

17. Live Previews and Demonstrations

Apexion may provide interactive previews or demonstrations of WordPress themes and templates.

Access to certain live previews may require account registration and email verification.

Live previews are intended to demonstrate the general design, layout, and functionality of products.

Demonstration environments may use sample content, placeholder images, example text, and third-party visual resources that are not included in the downloadable product.

Customers should review product descriptions and included-file information before purchasing.

Preview environments may be updated, reset, or temporarily unavailable due to maintenance or technical requirements.

18. Product Compatibility and Technical Requirements

WordPress themes and templates require a suitable technical environment.

Compatibility may depend on factors including:

  • WordPress version.
  • PHP version and server configuration.
  • Hosting environment and available server resources.
  • Installed plugins and extensions.
  • Browser compatibility.
  • Third-party page builders and integrations.
  • Customer modifications and website configuration.

Apexion makes reasonable efforts to describe known product requirements and limitations.

We cannot guarantee compatibility with every existing or future combination of hosting environments, plugins, browsers, or WordPress versions.

Customers are encouraged to review technical requirements and test software in a suitable environment before deploying it to a live website.

Nothing in this section excludes statutory requirements relating to satisfactory quality, fitness for purpose, or conformity with the product description.

19. Prohibited Website and Service Use

Customers and visitors must not use the Site or Apexion's account and delivery services for unlawful, fraudulent, or abusive activities.

Prohibited activities include:

  • Attempting to gain unauthorised access to customer accounts or administrative systems.
  • Using stolen payment information or engaging in payment fraud.
  • Interfering with website security or service availability.
  • Using malicious automated activity to exploit account or checkout functionality.
  • Accessing or downloading products through another person's account without permission.
  • Impersonating Apexion, its employees, or third-party developers.
  • Using Apexion's proprietary website content or protected branding without the necessary rights.
  • Distributing malware or other harmful code through the Site.

These restrictions govern use of Apexion's Site and services and do not impose additional restrictions on the lawful exercise of rights granted under the GPL.

20. Intellectual Property and Trademarks

Except where otherwise licensed, the Apexion brand, proprietary website design, original written content, logos, and other independently protected materials belong to Apexion Solutions Ltd or their respective licensors.

WordPress themes, plugins, and templates sourced from independent developers remain subject to their original copyright notices and applicable licences.

Names and trademarks including WordPress, Themify, CSSIgniter, and other third-party brands remain the property of their respective owners.

The display of third-party product names is intended to identify product origins, functionality, or compatibility and does not imply official endorsement or affiliation.

Nothing in these Terms grants customers ownership of third-party trademarks or permits misleading representations concerning product authorship or official support.

21. Disclaimer and Limitation of Liability

To the extent permitted by law, Apexion does not guarantee that the Site or its digital products will operate without interruption, technical errors, or compatibility issues in every possible environment.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded or restricted.

Nothing in these Terms excludes mandatory warranties, statutory consumer remedies, or liability for failure to supply digital content in accordance with applicable law.

To the extent legally permitted, Apexion will not be liable for indirect or consequential business losses resulting from circumstances for which it is not legally responsible.

Additional information is available in our Disclaimer.

22. Events Outside Our Reasonable Control

Apexion will not be responsible for delays or interruptions caused by events outside its reasonable control, including major internet disruptions, infrastructure failures, natural disasters, or interruptions affecting independent service providers.

Where such an event affects order fulfilment, we will take reasonable steps to minimise disruption and communicate relevant information to affected customers.

This provision does not remove any mandatory consumer rights or remedies arising under applicable law.

23. Privacy and Personal Data

Apexion processes customer information for account registration, order processing, payment verification, digital product delivery, customer support, security, and legal compliance.

Further information about the categories of personal data we process, their purposes, retention, disclosures, and customer rights is available in our Privacy Policy.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

For business customers, disputes arising from or relating to these Terms will be subject to the courts of England and Wales, unless otherwise required by applicable law.

For consumers, nothing in these Terms removes mandatory legal protections or jurisdiction rights available under the applicable laws of their country of residence.

Consumers may have the right to bring proceedings in courts other than those of England and Wales where applicable consumer protection or jurisdiction rules provide such rights.
